The Deal Memo

Most celebrity brand deals are negotiated in the dark. We publish our template so your team knows the shape of the deal before the first call. Every number below is an illustrative range, not an offer — final terms depend on category, scope, and market — but the structure is the structure. Forward this to your business manager.

1 · Ownership

HolderRangeNotes
Artist (via artist's own entity)Majority — typically 55–70%Founder-class equity. The brand is the artist's asset; it compounds and transfers to heirs.
StarPower / operating partner20–35%Earned through build and operation, vesting against delivery milestones — not granted up front.
Reserved (key operators / future capital)5–15%Option pool and headroom for a strategic round, sized at formation.

2 · What each side puts in

Artist sideStarPower side
Name & likeness license to the brand (scoped, revocable on defined defaults) · creative direction hours (defined per phase) · launch amplification on owned channelsFormulation & product development with tier-1 Korean ODMs · brand identity · regulatory & compliance per market · manufacturing & QC · distribution and retail path (LatAm anchor, US second) · capital architecture & entity setup

3 · Economics

ComponentRangeNotes
Build fee (program cost)$15K–$25K (micro-launch, single hero SKU) · $150K+ (full anchor program)Covers formulation, packaging, first production run, launch. Not a profit center — it funds the build.
Revenue share to artistProportional to equity after costsNo hidden royalties stacked against the artist's own brand.
Minimum guaranteesNone either directionWe don't ask the artist for spend commitments; we don't promise revenue we can't underwrite.

4 · Timeline

Formulation rounds, packaging, identityWeeks 5–12
Production, regulatory, channel setupWeeks 12–20

5 · Exit & control

The artist's entity holds the trademark path and majority board control from day one. Sale, licensing, or wind-down decisions sit with the cap table — which the artist leads. Our published deal teardowns document how Fenty, Rare, SKIMS, and Casamigos handled these same levers; we structure to the same principles at appropriate scale.
