For Entertainment Counsel

The parts your markup will actually turn on.

Written for the attorney who will paper this or kill it: the IP and NIL licence, conflict screening against existing grants, approval and consent rights, disengagement mechanics, and what is available before and after an NDA.

The six clauses that decide this deal

1 · Name, likeness and personal marks

Remain the artist's property, licensed to the venture on defined terms. The licence is drafted to survive an orderly exit rather than travel with the company by default, and identity consent rights over campaign usage sit with the artist - nothing ships with their face on it without approval.

2 · Conflict screening against existing grants

Skincare is commonly carved out of - or absent from - cosmetics and fragrance endorsement grants, but that is a verification, not an assumption. Screening your client's existing personal-care commitments is diligence item one, before any structure conversation.

3 · Venture IP: trademark, formulations, data

The venture entity owns the brand trademark, the formulation rights negotiated with the manufacturer, and the first-party customer data. Clean separation from the artist's personal marks is the point: the company is sellable without selling the person.

4 · Vesting, disengagement and reversibility

Equity releases against defined conditions. Disengagement stops unvested equity from releasing; vested economics remain the artist's property; ordinary change of heart is not breach. Earlier stages - notably the paid capsule pilot - are deliberately reversible by design.

5 · Governance and approvals

Brand authority and identity consent sit with the artist; corporate governance, financing, compliance and recall responsibility sit with the operating side. That division is stated plainly from the first meeting so nobody discovers it in the definitive documents.

6 · What is available pre- and post-NDA

Before an NDA: this site, the public deal memo, the structure teardowns, and a conversation that never requires naming your client. After an NDA: the named manufacturing partners, the operating and economic model, and a written brief specific to the artist.

Figures on this page are illustrative composites drawn from publicly reported transactions; they are not a projection, an offer, or legal, tax or investment advice. Every structure is negotiated per venture in definitive agreements prepared by counsel. StarPower is not affiliated with and has not been endorsed by any artist or brand named in public case studies.
